This certification is now required per the new SBA requirements enacted in April 2015. The CDC staff will request the certification be signed at the annual board meeting which will then be included in the annual SBA report. This certification provides SBA that the CDC Board of Directors understands the new requirements of the board per 13 CFR 120.823.

The certification is updated annually.

We ask that you sign a commitment dedicating yourself in assisting the CDC in fulfilling its mission by providing your expertise, assistance, referrals and attending meetings on a regular basis.

Per new SBA requirements, the board must make up different categories in order to have a wide array of knowledge basis in assisting the CDC with internal controls, as well as, loan reviews. The board member classification can assist you in choosing which category you may fit into so that the CDC can fulfill the new SBA requirements. CDC staff will request updated profile forms from each board of director on an annual basis to include in the annual SBA report.

New by-laws were adopted on November 6, 2025. It’s important to read the by-laws so you understand your role as a Director on the CDC board, as well as the attendance policy, quorum requirements, and new SBA requirements, etc.

All members must sign this and keep a copy for their records.
